Remote Communication Participation/Section 521(3) Nonprofit Corporation Act
Section 521(3) of the Nonprofit Corporation Act (MCL 450.2521) (link to Section 521) provides that, "unless otherwise restricted in the articles of incorporation or bylaws, a member of the board or of a committee designated by the board may participate in a meeting by means of conference telephone or other means of remote communication if all individuals who are participating in the meeting can communicate with the other participants," and that participation in a meeting under this subsection constitutes attendance in person at the meeting."
Therefore, to be in compliance with the Nonprofit Corporation Act, the Board moved to acknowledge Section 521(3) of the Nonprofit Corporation Act and approve remote communication for Board Members at Board and Committee Meetings, as well as in Closed Session.
